Open a U.S. company without flying in.
Helping international founders and existing overseas businesses establish and organize a U.S. company and prepare for doing business here.
Usually comes up at: Formation Inflection points

This package brings PRESIVO’s legal judgment and guidance into the formation process, from selecting the company structure and state of formation to explaining your documents and helping you prepare for the next steps in the U.S. market.
- How it used to work
Boots on the ground: flights, an exploratory office and face-to-face meetings with a local firm. That made entering the U.S. market expensive.
- How we work
We meet online, by video, to talk through your needs and objectives. There’s no need to fly in for every conversation.
Four phases, ten parts.
For one U.S. company with one initial owner: an individual founder, or an existing overseas company establishing a U.S. subsidiary.
The package, part by part.
Fixed fee, confirmed at intake.
- Company structure and state selection
A consultation to evaluate the appropriate U.S. entity and state of formation in light of the client’s ownership, business plans, and goals, with tax advisor coordination where needed.
- Formation and EIN
Formation of one U.S. company and assistance obtaining its federal employer identification number.
- Ownership and organizational documents
An initial operating agreement or bylaws, organizational consents, appointment of management, and documentation of the initial owner’s ownership, including a straightforward initial stock issuance if a corporation is selected.
- Organized company records
An initial ownership register and an electronic package of the company’s formation and organizational documents.
- Document review and guidance
A meeting to explain the documents, answer questions, and review the next steps, with one round of revisions within the agreed scope.
- U.S. business address coordination
Assistance arranging an address through an independent provider. Services, permitted uses, and fees depend on the provider; acceptance by banks and other institutions varies.
- Registered agent coordination
Assistance arranging a registered agent in the selected state. Provider fees are additional and vary by state.
- Business banking preparation
Guidance on the company documents and information needed to apply for a U.S. business account, with provider options considered in light of the client’s ownership, location, and business activities.
- Payment processing preparation
Guidance on the company information and documents needed to apply for a payment processing account.
- U.S. business phone coordination
Assistance arranging a virtual U.S. business number through an independent provider for use from abroad.
What’s in scope, and what isn’t.
Package boundaries
The package covers one U.S. company with one initial owner and a straightforward ownership structure. Additional owners or more complex ownership arrangements are quoted separately.
Scoped separately: multiple-owner arrangements, negotiated founder agreements, vesting, multiple equity classes, option pools, investor documents, IP transfers, contributions of existing businesses or assets, and additional entities or state registrations. These are identified during intake before we confirm the fixed fee.
Banking, payments and providers
For banking and payment processing, our role is preparation and guidance. Account applications, approval, and ongoing service remain with the client and the provider.
The business address, registered agent and phone number are arranged through independent providers. Services, permitted uses and fees depend on the provider.
